1. Acceptance of Terms

By accessing or using the Padgea website at padgea.com or any related services, applications, or platform (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Service.

These Terms apply to all visitors, users, prospective renters, property managers, landlords, brokers, and any other party who accesses or uses the Service.

2. Description of Service

Padgea provides an AI-powered residential apartment leasing and property management platform. The Service includes, but is not limited to: lead generation and marketing tools, leasing and application workflows, tenant screening, operations and maintenance coordination, and conversational AI agents that communicate on behalf of property operators.

Padgea reserves the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice.

3. Eligibility

The Service is intended for users who are 18 years of age or older. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts and Responsibilities

If you create an account on the Platform, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify Padgea immediately of any unauthorized use of your account.

You agree not to use the Service for any unlawful purpose, to submit false or misleading information, to impersonate any person or entity, or to interfere with the proper operation of the Service.

5. SMS / Text Messaging

Padgea may send text messages to users who have explicitly opted in through our website inquiry form or by texting us directly. Standard message and data rates may apply. Message frequency varies, up to approximately 10 messages per month.

Opt-out: You may opt out of text messages at any time by replying STOP to any message. You will receive a confirmation and no further messages will be sent. Reply START to resubscribe.

Consent to receive text messages is not a condition of any purchase, inquiry, or rental service. Mobile phone numbers provided for SMS consent are not shared with, sold to, or rented to third parties for marketing or promotional purposes.

6. Intellectual Property

All content on the Service, including text, graphics, logos, software, and data compilations, is the property of Padgea Inc. or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Padgea does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, Padgea Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service, even if Padgea has been advised of the possibility of such damages.

Padgea’s total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of $100 or the amount you paid Padgea in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Padgea Inc. and its affiliates, officers, directors, and employees from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

11. Changes to These Terms

Padgea reserves the right to update these Terms at any time. We will revise the effective date at the top of this page when changes are made. Your continued use of the Service after updates constitutes acceptance of the revised Terms.
